Terms and Conditions
These terms and conditions govern the relationship between TMB Enterprises (referred to as "TMB," "we," "us," or "our") and our clients (referred to as "client," "you," or "your") regarding the provision of consulting and safety services. By engaging our services, you agree to comply with these terms and conditions.
Services
TMB Enterprises LLC. Offers consulting, safety construction, warehouse safety, utility consulting, and CPR and emergency response training. Services will begin upon mutual agreement of the parties involved and will continue in force until services have been completed. We aim to deliver high-quality services by industry standards and client requirements. Timelines and deliverables may be subject to change due to unforeseen circumstances.
Client Obligations
Clients must agree to provide accurate and timely information necessary for us to fulfill our obligations effectively. Your cooperation and participation are essential for the successful execution of our services. You must agree to collaborate with us and provide access to relevant resources as needed. Open communication and feedback throughout the engagement process are encouraged to ensure mutual satisfaction.
Indemnification
You must agree to indemnify and hold TMB, its affiliates, and their respective officers, directors, employees, and agents harmless from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees and costs) arising out of or in any way connected with your use of our services, your breach of these terms and conditions, or your violation of any law or the rights of a third party.
Force Majeure
TMB will not be liable for any failure or delay in performing our obligations under these terms and conditions due to circumstances beyond our reasonable control, including but not limited to acts of God, war, natural disasters, strikes, and governmental restrictions. In such events, we will make reasonable efforts to notify clients and resume services as soon as possible.
Severability
If any provision of these terms and conditions is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be deemed modified to the extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
Fees and Payment
The fees for our services are detailed in the service agreement provided at the start of each project, based on your specific needs. Fees may change if the project scope changes or unforeseen issues arise, and we will notify you promptly. Invoices are issued at set intervals or milestones. Clients must follow payment terms to ensure smooth service delivery. Late payments may incur extra fees or pause services until paid.
Intellectual Property
All intellectual property developed or provided by TMB during the engagement remains the property of TMB unless otherwise agreed upon in writing. Upon full payment, clients may receive a non-exclusive, non-transferable license to use deliverables for their intended purposes.
Confidentiality
Both parties agree to protect any proprietary or sensitive information exchanged during the engagement. This includes but is not limited to, business strategies, financial data, client lists, and intellectual property. Each party commits to using such information solely for the purposes outlined in the service agreement and to refrain from disclosing it to any third parties without explicit written consent from the disclosing party. Confidential information shall not be disclosed to third parties without the express written consent of the disclosing party.
Non-Disclosure
Confidential information, including business strategies, financial data, customer lists, and project details, shared between TMB and the client is protected by strict non-disclosure obligations. Both parties agree to keep this information private to protect business interests and intellectual property. The receiving party will not disclose it to third parties without written consent. This commitment continues beyond the engagement period to prevent unauthorized use. Breaching this agreement could lead to legal action and compensation for damages.
Termination
Either party may terminate the engagement with written notice if the other party breaches these terms and conditions or fails to remedy a material breach within a reasonable timeframe. Termination does not relieve either party of any obligations accrued before termination, including payment obligations.
Limitation of Liability
TMB shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the provision of our services except as prohibited by law. Our total liability under these terms and conditions shall not exceed the total fees paid by the client for the services rendered.
Governing Law and Jurisdiction
These terms and conditions shall be governed by and construed by the laws of the jurisdiction in which TMB is registered. Any disputes arising from these terms and conditions shall be resolved through good faith negotiations between the parties. If not resolved, disputes shall be subject to the exclusive jurisdiction of the courts in the aforementioned jurisdiction.
Miscellaneous
These terms and conditions constitute the entire agreement between TMB and the client and supersede any prior agreements or understandings, whether written or verbal. Any amendments or modifications to these terms and conditions must be made in writing and agreed upon by both parties.
